MEMBERSHIP AGREEMENT
This agreement is between Henry’s Wine Vault, LLC, DBA Boundary, (“Boundary”) and Boundary Member (“Member”).
RECITALS
A. Boundary operates a social club for the benefit of its members at 126 S Mitchell St., Portland, OR (“Premises”).
B. Member has requested to become a social or locker member of the Club on the terms of this agreement (“Agreement”).
C. Boundary has agreed to accept Member as a social or locker on the terms of this Agreement.
NOW, THEREFORE, for the consideration expressed herein and subject to the terms and conditions below, the Parties agree as follows:
AGREEMENT
1. Initiation Fee. Member will pay Boundary an initiation fee of $1,500 on execution of this Agreement. Member acknowledges no portion of the Initiation Fee is refundable, and this membership is nontransferable.
2. Dues. Member agrees to pay Boundary monthly dues of $100/125/140/165 payable in advance, biannually, by automatic charge to Member’s credit card. Member acknowledges the monthly dues are subject to change on thirty days written notice by Boundary.
3. Benefits. Member shall be entitled to the benefits described in Ex. “A” below. Member acknowledges Boundary shall have the right to modify the benefits on ten days written notice.
4. Member Obligations. Member acknowledges and agrees:
4.1 All dues, fees and other applicable charges, is payable upon receipt of the monthly statement.
4.2 Member shall pay a late fee of 5%, and interest at the rate of 1.5% per month, on any amount past due to Boundary, and all collection costs, including attorney fees.
4.3 Member releases and waives any claim against Boundary, its employees, agents or assigns for any liability, loss or damage arising from Member’s use of the Premises.
4.4 This Agreement shall be governed by the laws of the State of Oregon, and any legal action between the parties shall be instituted in the Circuit Court of the State of Oregon for Multnomah County.
4.5 Boundary’s current rules of conduct and policies in connection with Member’s use of the Club’s facilities are below as Ex. “B” (“Policies”).
4.6 The Policies may be amended by Boundary on thirty days written notice to the Member.

MEMBER BENEFITS
- Key card access to and use of the Premises during regular business hours.
- Access to monthly events/visitors – guest distillers, winemakers, etc.
- Discounted wine purchases.
- Locker Members – 4 times yearly – use of back room w/no room charge (subject to prior reservation and availability).
- Social Members – 2 times yearly– use of back room w/no room charge (subject to prior reservation and availability).
- Fixed rental rates for rental of complete premises.

CODE OF CONDUCT
Thank you for participating in Boundary’s membership program. Below you will Boundary’s Codes of Conduct. If you have questions on anything included, please contact us prior to purchasing your membership.
Boundary Internal Policies / Codes of Conduct
- Membership dues are paid bi-annually, due upon signing an agreement with Boundary. Your credit card will be charged automatically, unless otherwise specified.
- Memberships are non-transferrable, but may be given as gifts and set up with a Boundary manager.
- Memberships may not be loaned or shared. The Member must be present with any guests during a reservation. Any misuse or misrepresentation of membership will not be tolerated and will result in termination of membership. All members are required to show legal identification as proof of membership upon entrance to the Boundary.
- All Members will be served in accordance with the laws set forth and executed by the Oregon Liquor Control Commission.
- Boundary retains the right to request a Member to leave the premises, in its sole discretion, determines that the Member’s behavior is disruptive or inconsistent with the Boundary’s OLCC license or internal protocols. The Boundary reserves the right to terminate any Member’s contract for such conduct. In such instance, the Boundary shall be under no obligation to return any of the Membership fee.
- Boundary reserves the right to close out a Member’s tab or a guest of any Member’s tab respectfully ask the Member and/or his/her guest to relinquish their table and/or seats if the aforementioned have not ordered drinks within the preceding hour.
- Memberships are reviewed for renewal 60 days prior to the end of a Membership year. The Boundary reserves the right to deny renewal of membership upon the completion of a Membership term.
- The Boundary reserves the right to change the Boundary Membership and Premium Boundary Membership contract rules by providing a 15-day written notice to Members.
